These Terms of Service and Privacy Policy ("Terms") govern your access to and use of the StemStudio AI mobile application and related services (together, "StemStudio"). StemStudio is provided by Vasyl Krychun, Spain ("we", "us", "our"). By using StemStudio you ("you" or "the user") confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use StemStudio.
1. Definitions
1.1 "StemStudio" means the StemStudio AI mobile application, its content, and the related online services we operate under the name "Stem Cloud".
1.2 "Prompt" means the text you enter into StemStudio to request the generation or modification of a Module.
1.3 "Module" means a StemJSON module you generate, build, edit, import, or export through StemStudio, together with its version history.
1.4 "StemJSON" means the declarative JSON format in which Modules are expressed.
1.5 "Model Provider" means the third-party artificial-intelligence provider that processes your Prompt to generate or modify a Module, accessed with your own API key as described in Section 5.
2. Eligibility and accounts
2.1 StemStudio creates an anonymous account for you automatically on first use. No name, email address, or password is collected to create it. The account exists so that your encrypted API keys, your Module library backup, and your generation history can be attributed to you and restored to you.
2.2 StemStudio is not directed at children under 13, or under the higher minimum age your country sets for consenting to data processing.
2.3 You are responsible for the device on which StemStudio runs and for all activity that occurs through it. Note that the anonymous account persists on the device across reinstalls; if you pass a device to someone else, delete your account first (Section 8.6) or erase the device.
3. Licence to use StemStudio
3.1 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use StemStudio for your personal or internal business purposes on Apple-branded devices that StemStudio supports and that you own or control, in accordance with the Usage Rules of the Apple Media Services Terms and Conditions.
3.2 You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of StemStudio, except to the extent this restriction is prohibited by applicable law.
3.3 All rights not expressly granted to you are reserved by us and our licensors.
4. Modules generated by AI
4.1 Modules are generated by an artificial-intelligence Model Provider from your Prompt. Generation is probabilistic: the same Prompt may produce different results, not every request can be fulfilled, and a Module may be inaccurate, incomplete, non-functional, or otherwise unsuitable for your purpose.
4.2 StemStudio is a developer tool. You are solely responsible for reviewing and testing each Module before relying on it or shipping it into your own applications. You must not rely on a Module for any purpose where an error could lead to loss, injury, or other harm.
4.3 Because every Module is expressed as StemJSON, you may refine your Prompt and generate again, or edit the StemJSON directly in the built-in editor.
4.4 As between you and us, you own the Modules you create, subject to the rights of the Model Provider in the underlying model and to any third-party rights. You are responsible for ensuring that your use of a Module, and any data processed by a Module, complies with applicable law and does not infringe the rights of others.
5. Your Model Provider key
5.1 Generation in StemStudio runs exclusively on your own Model Provider API key. There is no free generation tier and there are no in-app purchases; the cost of every generation is between you and your Model Provider, under your agreement with them.
5.2 When you save a key, it is verified against the provider and then stored on Stem Cloud encrypted with envelope encryption. The plaintext key never reaches any client device again — your own devices see only the key's last four characters. Generations run server-side using the stored key.
5.3 You may save several keys and model configurations and switch between them; only the active one runs generations. Removing a key deletes its ciphertext from Stem Cloud. Keys are never archived: when a key or the account is deleted, its ciphertext is destroyed.
5.4 You are responsible for keeping your Model Provider account in good standing and for all charges the Model Provider bills you for generations you request through StemStudio.
6. Acceptable use
6.1 You agree to use StemStudio only for lawful purposes and in accordance with these Terms. You must not:
(a) use StemStudio to create, store, or share any content that is unlawful, harmful, defamatory, obscene, or that infringes the intellectual property, privacy, or other rights of any person;
(b) use StemStudio to generate or facilitate malware, fraud, harassment, or any other activity prohibited by law;
(c) attempt to gain unauthorised access to, interfere with, disrupt, or overload StemStudio or its supporting infrastructure;
(d) circumvent, disable, or attempt to defeat any usage limit or security measure; or
(e) use StemStudio in breach of the terms of any Model Provider or other third-party service.
6.2 We may investigate suspected breaches of this Section and may suspend or terminate your access to StemStudio, with or without notice, where we reasonably believe a breach has occurred. You remain responsible for the Modules you create and for your use of them.
7. Third-party services
7.1 Model Providers. To generate or modify a Module, your Prompt (together with the Module being modified, where applicable) is transmitted to the Model Provider you configured, under your own API key and subject to that provider's terms and privacy policy.
7.2 Hosting. Your encrypted keys, your Module library backup, your generation jobs, and related records are stored on infrastructure operated by Google (Firebase), as described in Section 8.
7.3 We are not responsible for the acts, omissions, content, or terms of any third party, and your dealings with them are at your own risk.
8. Privacy and data protection
8.1 Controller. The controller of your personal data is Vasyl Krychun, contactable at vkrychun@stemjson.com.
8.2 Data we process. We process: (a) the Prompts you enter; (b) the Modules generated or modified from them, including each Module's version history; (c) your Module library, which StemStudio backs up to Stem Cloud so it can be restored after a reinstall; (d) any feedback you record on a generated version; (e) your anonymous account identifier; (f) records of your generations, including token usage figures and the model used; (g) your saved Model Provider keys, stored encrypted as described in Section 5.2; and (h) a push-notification token for your device, if you allow notifications, used solely to notify you when a generation finishes. We do not collect your name, email address, payment details, or precise location.
8.3 Data minimisation. The Prompt is free text. Do not include personal or sensitive information (such as names, contact details, or health data) in a Prompt or a Module, because it will be stored together with them. Data processed by a Module you build runs wherever you ship that Module and is not collected by us.
8.4 Purposes and legal bases. We process your data to: provide and operate StemStudio, generate Modules, and back up and restore your library (performance of a contract, Article 6(1)(b) GDPR); maintain, secure, and improve StemStudio and prevent abuse (our legitimate interests, Article 6(1)(f) GDPR); and, where required, on the basis of your consent (Article 6(1)(a) GDPR), which you may withdraw at any time.
8.5 International transfers. Your Prompts are processed by the Model Provider you selected, in the locations that provider operates; the transfer is governed by your arrangement with that provider. Data hosted on Google Firebase may be processed in the United States; Google LLC is certified under the EU-US Data Privacy Framework, and the European Commission's Standard Contractual Clauses apply as a further safeguard.
8.6 Deletion. You may delete your account at any time in Settings. Deleting your account: (a) permanently deletes your account identity, your encrypted keys (which are destroyed, never retained), your Module library backup, your version history, and your generation jobs from Stem Cloud; (b) removes your Modules and history from the device; and (c) means your data cannot be restored afterwards, including after a reinstall. De-identified copies of generated content — Prompts, generated Module JSON, and usage figures, with the link to your account permanently severed — are retained for aggregate analysis and product improvement, as described in Section 8.7.
8.7 Retention. We retain your data for up to 24 months, after which it is deleted or de-identified. De-identified content retained under Section 8.6(c) or this Section carries no account linkage and is used only in aggregate to improve generation quality and StemStudio itself. Note that free-text content may itself contain information you chose to include; de-identification severs the link to your account but does not edit the content — another reason to follow Section 8.3.
8.8 Your rights. Subject to applicable law, you have the right to access, rectify, erase, restrict, and port your personal data, to object to its processing, and to withdraw consent at any time. Deleting your account in Settings exercises erasure as described in Section 8.6. To exercise any other right, or to request full erasure of de-identified content that identifies you because of information you included in it, email vkrychun@stemjson.com; we respond within 30 days. You also have the right to lodge a complaint with a data protection supervisory authority: in Spain, the Agencia Española de Protección de Datos (www.aepd.es), or the authority of your country of residence.
9. Sharing Modules as files
9.1 Modules leave your library only when you export them. You can export a Module as a .stem file and send it to someone directly; the file contains the Module's StemJSON and metadata. The recipient accepts it at their own risk.
9.2 Modules you import from a file are created by other people, not by us. We do not create, endorse, or vet them, and the automated safety check offered before an import is not a guarantee. You import and use them at your own risk.
9.3 You represent and warrant that any Module you share is yours to share, does not violate any law, and does not infringe the rights of any third party. You are solely responsible for any Module you share and for the consequences of sharing it.
10. Intellectual property
10.1 StemStudio, including its software, design, and the StemJSON specification and runtime, together with all related intellectual property, is owned by us and our licensors and is protected by law.
10.2 These Terms grant you no right in our trademarks, logos, or branding.
11. Disclaimer of warranties
11.1 To the maximum extent permitted by applicable law, StemStudio and all Modules are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
11.2 We do not warrant that StemStudio will be uninterrupted, error-free, or secure, or that any Module will meet your requirements. Nothing in this Section excludes any warranty or guarantee that cannot be excluded under applicable law, including mandatory consumer guarantees.
12. Limitation of liability
12.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law, including mandatory consumer-protection law.
12.2 Subject to Section 12.1, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of StemStudio or any Module, including charges billed to you by a Model Provider.
12.3 Subject to Section 12.1, our total aggregate liability arising out of or in connection with these Terms and your use of StemStudio is limited to the greater of (a) the total amount you paid to us for StemStudio in the 12 months preceding the event giving rise to the liability, or (b) where you are a consumer, any higher amount that mandatory law requires.
13. Indemnification
To the extent permitted by applicable law, and except where you are a consumer and applicable law provides otherwise, you agree to indemnify and hold us harmless from any claim, liability, or expense arising out of your breach of these Terms, your misuse of StemStudio, or any Module you create or share.
14. Apple and App Store terms
This Section applies where you obtain StemStudio through the Apple App Store. It is required by Apple and, with respect to the matters it addresses, prevails over any conflicting provision of these Terms.
14.1 Acknowledgement. You and Vasyl Krychun acknowledge that these Terms are concluded between you and Vasyl Krychun only, and not with Apple, and that Vasyl Krychun, not Apple, is solely responsible for StemStudio and its content.
14.2 Scope of Licence. The licence granted to you for StemStudio is limited to a non-transferable licence to use StemStudio on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
14.3 Maintenance and Support. Vasyl Krychun is solely responsible for providing any maintenance and support services with respect to StemStudio. You and Vasyl Krychun acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to StemStudio.
14.4 Warranty. Vasyl Krychun is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of StemStudio to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for StemStudio to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to StemStudio, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Vasyl Krychun.
14.5 Product Claims. You and Vasyl Krychun acknowledge that Vasyl Krychun, not Apple, is responsible for addressing any claims of you or any third party relating to StemStudio or your possession and/or use of StemStudio, including, but not limited to: (a) product liability claims; (b) any claim that StemStudio fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
14.6 Intellectual Property Rights. In the event of any third-party claim that StemStudio or your possession and use of StemStudio infringes that third party's intellectual property rights, Vasyl Krychun, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.
14.7 Legal Compliance. You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
14.8 Developer Contact. Any questions, complaints, or claims with respect to StemStudio should be directed to Vasyl Krychun at vkrychun@stemjson.com.
14.9 Third-Party Terms. You must comply with any applicable third-party terms of agreement when using StemStudio.
14.10 Third-Party Beneficiary. You and Vasyl Krychun acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
15. Term and termination
15.1 These Terms apply for as long as you use StemStudio.
15.2 You may stop using StemStudio at any time and may delete your account and data as described in Section 8.
15.3 We may suspend or terminate your access as described in Section 6, or where required by law. Provisions that by their nature should survive termination (including Sections 4.4, 8, 10, 11, 12, 13, and 16) survive.
16. Governing law and jurisdiction
16.1 These Terms are governed by the laws of Spain, without regard to its conflict-of-laws rules.
16.2 If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, you retain the protection of the mandatory provisions of the law of your country of residence; nothing in these Terms deprives you of that protection, and you may bring proceedings in the courts of your country of residence.
16.3 Subject to Section 16.2, the courts of Spain have jurisdiction over any dispute arising out of or in connection with these Terms.
17. Changes to these Terms
We may update these Terms from time to time. If a change materially affects you, we will present the updated version the next time you open StemStudio and ask you to accept it. Your continued use of StemStudio after a change takes effect constitutes acceptance, except where your express acceptance is required.
18. Severability, waiver, and entire agreement
18.1 If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
18.2 Our failure to enforce any provision is not a waiver of that provision.
18.3 These Terms constitute the entire agreement between you and us regarding StemStudio and supersede any prior agreement on that subject.
